Governance

Achmea Mortgage Funds B.V. (trade name ‘Achmea Mortgages’) has a governance structure that complies with laws and regulations and is aligned with the governance of the Achmea group. An internal risk management system is in place. The management monitors proper compliance with it.

Well-balanced operation

Achmea Mortgages is organised to ensure good management and effective regulatory oversight. Integrity, transparency and accountability are embedded in our corporate governance and business activities. This ensures effective risk management, compliance with all relevant laws and regulations and transparency to stakeholders and market participants.

Shareholder and legal structure

Achmea Mortgages is part of Achmea. All shares are therefore held by Achmea B.V. The shareholder structure can be shown as follows.

 

Achmea Mortgages has its registered office in Amsterdam and is registered with the Chamber of Commerce under number 88585670. Our office is located in Amsterdam-Duivendrecht.

In 2024, the AFM granted Achmea Mortgage Funds a licence under the Alternative Investment Fund Managers Directive (AIFMD).

Regulatory bodies

Achmea Mortgages is supervised by the Netherlands Authority for the Financial Markets (AFM) and De Nederlandsche Bank (DNB). The AFM, as licensing authority, is the main regulator of Achmea Mortgages. Achmea Mortgages is included in the AIFMD register on the AFM's website. The AFM is responsible for the conduct supervision of financial institutions. DNB is responsible for prudential supervision, which watches over the health of financial institutions.

Management structure

The Management Board of Achmea Mortgages is responsible for strategy, policy and its implementation.

Supervisory Board

A Supervisory Board has been established for the AIFMD investment funds managed by Achmea Mortgages (PVF Particuliere Hypothekenfonds and Achmea Dutch Mortgage Fund). This supervises Achmea Mortgages - in the interest of the joint investors in the funds. At least half of the Supervisory Board consists of external members. The task of the Supervisory Board is to supervise the drafting and implementation of the policy of the funds by Achmea Mortgages and the general state of affairs concerning the funds. In addition, the Supervisory Board focuses on a number of fund-transcending matters.
